Role Overview
The Group Legal & Compliance Director is a senior leadership role responsible for defining and
safeguarding Tagaddod’s legal, regulatory, and governance framework globally.
Reporting directly to the CEO, this role ensures that the company scales responsibly across
jurisdictions, maintaining full compliance while enabling commercial agility. It
combines strategic legal leadership, regulatory oversight, and enterprise risk management,
with direct visibility at Board level.
The role operates with a high degree of independence and authority, acting as both a business
partner and a control function.
Key Responsibilities
- Executive Legal Leadership
- Serve as the principal legal advisor to the CEO and Board
- Shape legal strategy in line with company growth, expansion, and capital strategy
- Provide clear, actionable guidance on high-impact decisions, balancing risk and commercial outcomes
- Ensure the company is structurally and legally prepared for future funding, partnerships, and exits
- Global Regulatory & Compliance Oversight
- Build and lead a group-wide compliance framework across all geographies Ensure adherence to:
- Sustainability and certification schemes (e.g. ISCC EU / CORSIA and
equivalents)
- Trade, customs, sanctions, and export/import regulations
- Environmental, health & safety (EHS) requirements
- Data protection and privacy laws
- Act as the company’s lead interface with regulators, certification bodies, and external auditors
- Corporate Governance & Board Management
- Establish and maintain best-in-class governance practices across all entities Lead:
- Board governance, documentation, and resolutions
- Shareholder matters and corporate structuring
- Delegation of authority frameworks
- Ensure transparency and accountability in decision-making at all levels
- Enterprise Risk Management
- Own the legal and compliance components of enterprise risk management (ERM)
- Identify and proactively manage:
- Regulatory and compliance risks
- Contractual and commercial risks
- Reputational and strategic risks
- Provide regular risk reporting and escalation to CEO and Board
- Contracting, Trade & Commercial Structuring
- Oversee all high-value and complex contracts, including:
- Feedstock supply and offtake agreements
- Logistics, storage, and shipping contracts
- Strategic partnerships, JVs, and investments
- Ensure strong legal positioning on:
- Incoterms and cross-border trade structures
- Risk allocation, liability, and dispute clauses
- Support the business in structuring deals that are both commercially competitive and legally sound
- Disputes, Claims & Investigations
- Lead strategy and execution on disputes, arbitration, and litigation
- Oversee claims management across trading and operations
- Direct internal investigations and ensure appropriate remediation actions
- Protect the company’s legal and financial position in contentious situations
- Ethics, Integrity & Compliance Culture Define and enforce:
- Code of Conduct
- Anti-bribery and anti-corruption frameworks
- Whistleblower and reporting mechanisms
- Embed a culture of compliance and accountability across all locations
- Ensure leadership teams are aligned with ethical and legal expectations
- ESG, Sustainability & Responsible Business
- Provide legal oversight on ESG strategy, disclosures, and commitments
- Ensure integrity of sustainability claims and certification compliance
- Advise on evolving global regulations related to low-carbon fuels and waste-based
feedstocks
- Data Privacy, Technology &Cyber Compliance
- Oversee compliance with data protection and digital regulations
- Advise on legal risks related to technology platforms, data usage, and cybersecurity
- Insurance & Risk Transfer
- Define and manage the company’s insurance and risk transfer strategy
- Ensure adequate coverage for:
- Marine cargo and logistics
- Storage and operational assets
- Third-party and environmental liabilities
- Function Leadership & Capability Building
- Build and lead a high-performing legal & compliance function
- Define the operating model across regions
- Implement tools and systems (e.g., contract lifecycle management, compliance tracking)
- Reduce dependency on external counsel while maintaining quality and efficiency
Requirements
- 12–15+ years of legal experience, with strong exposure to international trade,
commodities, energy, or logistics sectors
- Proven experience advising executive leadership and boards
- Strong background in multi-jurisdictional legal and compliance environments
- Experience building or scaling legal/compliance functions
- Familiarity with sustainability and certification frameworks (ISCC or equivalent is a
plus)
