About the Role

We are seeking a highly organised, detail-oriented and professional Company Secretary to support the Board and Management in ensuring effective corporate governance, statutory compliance and smooth administration of Board and Committee matters.

The successful candidate will play a key role in maintaining high governance standards, supporting strategic decision-making processes, and ensuring compliance with all applicable legal and regulatory obligations.

Key Responsibilities

  • Coordinate and organise Board, Committee and Shareholder meetings
  • Prepare agendas, board packs, minutes, resolutions and governance documentation
  • Ensure compliance with statutory, regulatory and corporate governance requirements
  • Maintain statutory registers, records and corporate documentation
  • Liaise with regulators, auditors, legal advisors and external stakeholders
  • Support the implementation and continuous improvement of governance frameworks and policies
  • Monitor changes in legislation and governance best practices impacting the organisation
  • Ensure timely filing of statutory returns and regulatory submissions
  • Provide governance and administrative support to the Group Head of Legal & Compliance
  • Ensure proper follow-up and closure of Board and Committee action points

Qualifications & Experience

  • Degree in Law, Corporate Governance, Business Administration or related field
  • Professional qualification in Corporate Governance/Company Secretarial practice (ICSA/CGI or equivalent) would be an advantage
  • Minimum 5 years’ experience in a Company Secretarial, Governance or Legal Administration role
  • Strong understanding of corporate governance principles and Mauritian regulatory requirements
  • Experience within a regulated or corporate environment would be advantageous
  • • Excellent written communication, drafting and organisational skills
