NACOSA NPC is a not-for-pro?t organisation and public bene?t organisation working to strengthen community responses to HIV, TB and related health and development challenges across Southern Africa.
In line with good governance and the Companies Act, 2008, NACOSA invites suitably quali?ed and experienced individuals to apply for appointment as an Independent Non-Executive Member of the Audit & Risk Committee.
About the Audit & Risk Committee
The Audit & Risk Committee is a statutory committee of the Board, with responsibilities that include oversight of ?nancial reporting, internal and external audit, risk management, internal ?nancial controls, and combined assurance.
Role and Responsibilities
- Committee members collectively provide independent oversight and assurance to the Board and shareholders. Key responsibilities include:
- Reviewing annual ?nancial statements and interim reports
- Overseeing the integrity of integrated and sustainability reporting
- Monitoring internal ?nancial controls and ?nancial reporting risks
- Overseeing internal audit and approving the internal audit plan
- Recommending the appointment and monitoring the independence of the external auditor
- Overseeing fraud risk and IT risks relating to ?nancial reporting
- Ensuring an effective combined assurance model is applied
- Reviewing the adequacy and effectiveness of the ?nance function
- Committee members are expected to exercise due care and professional judgement and to uphold the highest standards of integrity and governance.
Required Skills and Experience
- Applicants must be independent non-executive directors and, collectively with other committee members, bring strong expertise in:
- Financial and sustainability reporting
- Internal ?nancial controls
- External and internal audit processes
- Risk management
- Corporate governance and corporate law
- Information technology governance as it relates to reporting
- Experience in the nonpro?t or social development sector will be an advantage
- A professional qualification such as CA(SA), ACCA, CPA or equivalent and senior level ?nancial or audit experience, is strongly preferred, together with Public Sector and NPO experience.
Time Commitment
- A minimum of four Audit & Risk Committee meetings per year, with additional meetings as required
- Preparation for and active participation in meetings
- Occasional attendance at Board or Annual General Meetings
Term and Remuneration
- Appointment is for a ?xed term in line with NACOSA’s governance policies
- This is a remunerated role
Eligibility
- Must not be an executive or employee of NACOSA
- The Chair of the Board is not eligible for this role
- Appointments are subject to Board approval
